What are resolutions?
Resolutions are decisions taken by the shareholders or directors of a company at meetings which become binding on the company and determine the next action of the company.
Types of Resolutions
- Ordinary resolution; these are resolutions that are passed by a minor majority of the shareholders and directors in determining ordinary businesses of the company.
- Special resolutions; these are resolutions passed by a majority of the quorum of a meeting in determining the serious businesses of the company
- Board resolution; Board resolutions are resolutions passed by members of the board.
